DescriptionYour franchise is for a specific site selected and approved by us. Your Protected Area will be defined by geographic boundaries determined by us in our sole discretion, considering demographic information like population density, buying income, retail sales, and office/commercial/industrial space. The actual boundaries will be disclosed in an exhibit to the Franchise Agreement or defined by a prescribed radius (not less than 1 mile) from your facility. We reserve the right to sell franchises or operate Manduu programs within other pre-existing businesses (e.g., larger fitness/rehabilitation centers, corporate facilities, universities, country clubs) within your Protected Area, but you may be given the opportunity to manage these for a fee. We retain the right to solicit and sell to accounts with locations outside your Protected Area via direct marketing, telemarketing, and online networks without compensating you.

Renewal ConditionsTo renew, you and your Owners must: (i) notify us in writing at least one year before expiration; (ii) not be in default of any agreement with us or affiliates; (iii) satisfy all monetary obligations; (iv) execute our then-current franchise agreement and personal guaranty; (v) perform required remodeling, repairs, and renovations; (vi) complete any required retraining program; and (vii) execute a general release of claims (subject to state law). You must also upgrade the Studio to current entry standards, design elements, equipment package, and point-of-sale system.

Transfer ConditionsOur consent is required for any transfer. Conditions for approval include: (i) proposed transferee must meet new franchisee qualifications; (ii) transferee must comply with Section 24 (Business Entity Franchisee); (iii) all monetary obligations to us and affiliates must be satisfied; (iv) all existing defaults must be cured; (v) you and guarantors must execute a general release of claims; (vi) transferee must execute our then-current franchise agreement with same royalty fee and expiration/renewal term, and update the Studio to current standards; (vii) payment of transfer fee. Transferee must not have had a franchise terminated for cause, be affiliated with a competitor, or be in breach of non-compete provisions.
Termination for CauseWe can terminate immediately for incurable defaults such as: closing/abandoning the Studio for 3+ days; franchisee/owners becoming insolvent or bankrupt; conviction for crimes of moral turpitude; material inaccuracy in representations; maintaining false records; repeated breaches of the same provision; failure to secure a lease or open on time; breach of confidentiality or non-compete covenants; failure of key personnel to complete training; incurable breach; or adjudicated customer illness attributable to the Studio. For curable monetary defaults, you have 10 business days to cure. For curable non-monetary defaults, you have 30-45 days to cure.

Non-Compete DetailsDuring the term of the franchise, you may not engage, directly or indirectly, in any Competing Business other than a Manduu Studio. For two years after termination or expiration, you may not engage in any Competing Business within your Protected Area and within five miles of any existing Manduu Studio.
