By accessing or using the Site in any manner — including browsing franchise profiles, downloading FDD documents, submitting any form, or creating an account — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you are using the Site on behalf of a business, you represent that you have authority to bind that entity to these Terms.

Your continued use of the Site following any updates constitutes acceptance of the revised Terms.

FranchiseOverview.com is a franchise discovery and information platform operated by Franchising Compliance, LLC that provides:

• Franchise profile pages with data derived from publicly filed Franchise Disclosure Documents (FDDs)
• AI-generated summaries, analyses, and transparency scores based on publicly available FDD data
• FDD document downloads sourced from public state franchise registries
• A franchise matching tool based on user-submitted preferences
• Franchisee review and rating features
• Franchisor profile claiming and management tools
• Lead generation services connecting prospective buyers with franchisors and brokers

Franchising Compliance, LLC is not a franchisor, franchise broker, franchise consultant, investment advisor, or law firm. We do not sell franchises, negotiate franchise agreements, or provide legal or financial advice of any kind.

We reserve the right to modify, suspend, or discontinue any part of the Site at any time without liability to you.

To use the Site, you must be at least 18 years of age, have the legal capacity to enter into binding contracts, and be a resident of the United States. The Site is intended for U.S. users only. Franchising Compliance, LLC makes no representation that the content is appropriate for use outside the United States. We reserve the right to refuse service to anyone at any time.

Certain features require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and notify us immediately at info@franchiseoverview.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

Franchising Compliance, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for:

• Researching franchise opportunities for your own personal investment consideration
• Downloading FDD documents for personal review and due diligence
• Submitting inquiries about specific franchise opportunities
• Submitting authentic reviews of franchises you have personal experience with
• Claiming and managing your franchisor profile as an authorized representative

All other uses require our prior written permission. This license may be revoked at any time.

• Scrape, crawl, or use automated tools to extract data from the Site without written permission
• Use Site data, FDD content, or AI-generated analyses to build a competing product or service
• Aggregate or download franchise profile data in bulk for commercial purposes
• Reproduce or distribute Site content commercially without written authorization

• Submit false, misleading, or fraudulent information including fake leads or reviews
• Impersonate any person or entity, including Franchising Compliance, LLC staff
• Attempt to manipulate transparency scores or rankings through false data

• Attempt to gain unauthorized access to any part of the Site or its servers
• Upload or transmit viruses, malware, or any malicious code
• Use bots or automated tools to submit forms or create accounts

• Use the Site for any unlawful purpose or in violation of any applicable law
• Infringe the intellectual property rights of Franchising Compliance, LLC or any third party
• Use franchisor contact information for any purpose other than legitimate franchise investment inquiry

Violations may result in immediate account termination, reporting to law enforcement, and civil legal action.

• All FDD-derived data is sourced from public government filings and reproduced as public record
• AI-generated summaries and transparency scores represent our interpretation only and are not verified by franchisors unless a profile is claimed and marked as verified
• Franchising Compliance, LLC does not guarantee the accuracy, completeness, or timeliness of any franchise profile data
• Transparency scores and risk ratings are proprietary metrics of Franchising Compliance, LLC and are not endorsed by any regulatory body
• The presence of a franchise on the Site does not constitute an endorsement or recommendation of that opportunity
• FDD downloads are provided as-is from public registry sources; Franchising Compliance, LLC is not responsible for the content of those documents

Franchise profiles on this site are compiled from publicly available information, including franchise disclosure documents and other public sources. If you are a franchisor or authorized representative, you may claim your franchise profile to update, correct, or enhance the information displayed.

If you believe a listing should be removed or contains inaccurate information, please contact us at info@franchiseoverview.com with documentation verifying your authority to act on behalf of the franchisor.

To report other factual inaccuracies, email info@franchiseoverview.com. We will review within 14 business days but are not obligated to modify accurate public records.

Before making any franchise investment decision, you must:

• Consult with a qualified franchise attorney licensed in your state
• Consult with a certified public accountant (CPA) or financial advisor
• Obtain and independently review the current FDD directly from the franchisor
• Speak with current and former franchisees listed in the FDD’s Item 20
• Conduct your own independent due diligence on the opportunity and the market

Franchising Compliance, LLC is not responsible for any investment decisions you make based on information from the Site. Your reliance on Site content is entirely at your own risk.

Franchising Compliance, LLC operates FranchiseOverview.com as a franchise lead generation platform. By submitting any form on the Site, you expressly consent to:

• Your contact information being shared with franchisors, franchise development teams, brokers, and consultants
• Being contacted by telephone, email, and/or SMS by Franchising Compliance, LLC and third parties — even if listed on a Do Not Call registry, pursuant to your express written TCPA consent
• Franchising Compliance, LLC receiving compensation for sharing your lead information with franchisors and brokers

You are not obligated to purchase any franchise. To opt out of Franchising Compliance, LLC communications, email info@franchiseoverview.com. Contact franchisors and brokers directly to opt out of their communications.

All original Site content — including AI-generated franchise analyses, transparency scores, the FranchiseOverview.com brand, design, and software — is owned by Franchising Compliance, LLC and protected by U.S. and international intellectual property laws. FDD documents are public government records and are not owned by Franchising Compliance, LLC. Franchise brand names and logos are property of their respective owners.

You may view and print Site content for personal, non-commercial due diligence only. Any commercial reproduction or use requires our prior written consent.

By submitting reviews, ratings, or other User Content, you grant Franchising Compliance, LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and distribute that content. You represent that reviews reflect your genuine personal experience and are not fake or incentivized.

Franchising Compliance, LLC does not endorse or verify User Content and is not liable for content submitted by third parties. We reserve the right to remove any User Content that violates these Terms.

Franchisors claiming profiles or purchasing services agree to the following additional terms:

• Accuracy: All submitted information must be accurate, current, and compliant with the FTC Franchise Rule and applicable state franchise laws
• FTC Compliance: Any earnings claims must comply with Item 19 of your current FDD
• No Misleading Content: You may not submit false, misleading, or deceptive content
• Lead Handling: Leads must be handled in compliance with TCPA, CAN-SPAM, and state telemarketing laws
• No Guaranteed Results: Franchising Compliance, LLC makes no guarantee regarding lead quantity, quality, or conversion rate
• Payment Terms: All fees are non-refundable unless stated in your advertising agreement
• Termination: We reserve the right to remove profiles or terminate accounts at our sole discretion

In conflict between these Terms and a separate executed agreement with Franchising Compliance, LLC, the separate agreement controls.

Franchisors may claim their profile on FranchiseOverview.com and upgrade to a Premium Profile, which allows them to add custom content including descriptions, photographs, videos, testimonials, team information, highlights, and awards.

All franchisor-submitted content is the sole responsibility of the submitting franchisor. FranchiseOverview.com and Franchising Compliance, LLC do not verify, endorse, or guarantee the accuracy, completeness, or truthfulness of any content submitted by franchisors or their representatives.

Testimonials displayed on Premium Profiles are submitted by the claiming franchisor or by franchisees at the franchisor’s direction. These testimonials reflect the personal opinions of the individuals who provided them and should not be interpreted as guarantees of future results, earnings, or satisfaction.

Premium placement is a paid service. The fact that a profile is marked as “Premium,” “Claimed,” or “Verified” does not constitute an endorsement, recommendation, or approval of that franchise system by FranchiseOverview.com or Franchising Compliance, LLC. Premium status indicates only that the franchisor has claimed the profile and subscribed to enhanced listing features.

FranchiseOverview.com reserves the right to review, modify, or remove any franchisor-submitted content that, in our sole discretion, violates these Terms of Use, contains misleading claims, or is otherwise objectionable. Removal of content does not entitle the franchisor to a refund of any fees paid.

Some jurisdictions do not allow exclusion of implied warranties, so some exclusions may not apply to you.

The aggregate liability of Franchising Compliance, LLC to you for any claim arising out of or relating to these Terms or your use of the Site shall not exceed $20.

You agree to defend, indemnify, and hold harmless Franchising Compliance, LLC and its owners, officers, directors, members, employees, agents, and service providers from all claims, liabilities, damages, losses, costs, and fees (including attorneys’ fees) arising out of or relating to: your use of the Site; your violation of these Terms; any User Content you submit; any false information you provide; your interactions with franchisors, brokers, or consultants; or any franchise investment decision you make based on Site content.

Franchising Compliance, LLC complies with the DMCA. To submit a valid copyright takedown notice, send the following to info@franchiseoverview.com with subject “DMCA Notice”:

1. Signature of copyright owner or authorized agent
2. Identification of the copyrighted work
3. Identification of the infringing material with location on the Site
4. Your contact information
5. Good faith belief statement
6. Statement under penalty of perjury that the notice is accurate

These Terms are governed by the laws of the State of California without regard to conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 19, you agree to submit to the exclusive jurisdiction of state and federal courts located in Orange County, California.

Contact us at info@franchiseoverview.com and allow 30 days for informal resolution before initiating formal proceedings.

Unresolved disputes shall be settled by binding individual arbitration administered by the AAA under its Consumer Arbitration Rules in Orange County, California (or by telephone at your election). The arbitrator’s decision is final and binding.

Either party may seek emergency injunctive relief in court. IP infringement claims may be brought in court. You may opt out of arbitration by emailing info@franchiseoverview.com within 30 days of first accepting these Terms.

Franchising Compliance, LLC reserves the right to suspend or terminate your access to the Site at any time, with or without notice, for violation of these Terms, submission of false information, non-payment of fees, or any other reason at our sole discretion. Sections covering disclaimers, liability, indemnification, governing law, and dispute resolution survive termination.

Franchising Compliance, LLC reserves the right to modify these Terms at any time. We will post the updated Terms with a new effective date. Your continued use of the Site constitutes acceptance of revised Terms. Previous versions are available upon request at info@franchiseoverview.com.
