However, we reserve the right to conduct any business activities, under any name, in any geographic area, and at any location, regardless of the proximity to or effect on your DA Business and without compensation to you (unless expressly provided otherwise).

Renewal ConditionsTo acquire a successor Development Term, you must: (i) be offering franchises for Development Agent Rights in the United States; (ii) you and your owners are in full compliance with all agreements; (iii) agree to any modification of the Territory; (iv) agree to a new development schedule; (v) pay the successor development term fee; and (vi) meet current financial and operational criteria for new DA Business franchisees.

Transfer ConditionsConditions include: proposed transferee meets standards, terms and conditions of transfer are satisfactory, transferee completes initial training, all monetary obligations are paid, you are not in default, all required reports are submitted, you have offered to sell to franchisor first, financing is subordinate to franchisor, and you agree to observe post-term restrictions.
Termination for CauseThe franchisor can terminate for various defaults, including material misrepresentation, failure to complete training, failure to satisfy development schedule, abandonment, unauthorized transfer, conviction of certain crimes, misappropriation of confidential information, violation of laws, making unauthorized financial performance representations, failure to pay amounts owed, failure to maintain insurance, repeated breaches, or bankruptcy.

Participation DetailsYou must at all times faithfully, honestly and diligently perform your obligations under the Development Agent Agreement, continuously exert your best efforts to promote and enhance your DA Business and not engage in any other business or activity that may result in a conflict of interest. The DA Business must at all times be under your or your owners’ direct supervision. Each direct and indirect owner must personally guarantee obligations.
Required SuppliersCurrently, we are the only approved supplier of (i) the Unit Franchise Agreements, the Salon FDD and franchise sales materials, and advertising materials (collectively, the “Documentation”) that you will use to solicit franchisees for the Salons.
Supply RestrictionsYou may have to buy or lease items from the franchisor or a limited group of suppliers the franchisor designates. These items may be more expensive than similar items you could buy on your own. In the future, we may require you to purchase certain components of the Technology System (i.e. the management software) from our designated vendors, which may be limited to us or our affiliates. We do not permit Development agents to contract with alternative suppliers.
Franchisor Revenue from SuppliersAs of the issuance date of this Disclosure Document (i) we and our affiliates do not derive any revenue from sale or lease of goods and services to our development agents, and (ii) we and our affiliates do not derive any revenue, rebate, or other material consideration from third-parties based on purchases or leases by our development agents; however, we reserve the right to do so in future without any obligation to share such revenue or benefit with you.
