DescriptionA geographic area encompassing a minimum population of 150,000 persons. Franchisor reserves the right to limit the territory. Renewal ConditionsUpon the expiration of the initial term or any renewal term of the Franchise Agreement, you may, at its option, renew the Franchise Agreement for an additional term of 10 years (the “Successor Franchise”), provided that at the end of each term, you meet conditions listed including paying a Successor Fee. In order to renew, we must be offering National Academy of Athletics Franchises; you must give us written notice between 6 months to 1 year, prior to the end of the term; you must not be in default under any provision of The Franchise Agreement or any other agreement between you and our affiliates, and has substantially complied with all of the terms and conditions of Franchise Agreement; or a suitable substitute location that is approved by us and meets our then-current specifications and standards, for the entire term of the Successor Franchise; you must refurbish your National Academy of Athletics Franchised Business to conform to the then-current National Academy of Athletics trade dress, color schemes, and presentation of the Marks and National Academy of Athletics Systems Standards; you must sign the then-current National Academy of Athletics franchise agreement terms of which may differ from the terms of the Franchise Agreement; you must pay us a Renewal Fee of $24,000 or $12,000 if the Franchised Business Gross Revenues are $500,000 or greater for the previous 12 month period; and you must comply with then-current National Academy of Athletics qualifications and training requirements. When renewing, you may be asked to sign a contract with materially different terms and conditions then your original contract.

Transfer ConditionsAll outstanding obligations related to the Franchised Business must be paid, and the transferor’s right to receive compensation must be subordinated and secondary to our rights. The transferee must sign a written assumption; the transferee must meet National Academy of Athletics standards; the transferee must sign a then-current National Academy of Athletics franchise agreement and other ancillary agreements; the transferee must successfully complete National Academy of Athletics initial training, and you or the transferee must pay a transfer fee.
Termination for CauseWe can terminate only if you default. Causes include failure to pay sums due (10 days to cure), failure to perform other provisions (30 days to cure), failure to operate in full compliance (30 days to cure), failure to schedule minimum programs (no cure), failure to satisfy training (no cure), failure to submit reports (no cure), selling unapproved products (no cure), failure to meet System Standards (no cure), bankruptcy/insolvency (no cure), receiver appointed (no cure), failure to comply with laws (10 days to cure), unauthorized transfer (no cure), seizure of business (no cure), violation of restrictive covenants (no cure), criminal misconduct (no cure), false books/reports (no cure), public health/safety danger (no cure), or default under other agreements (no cure).

Non-Compete DetailsNo involvement in a competing business; cannot assist or deal with a competing business; cannot infringe on another franchisee’s territorial rights during the term. After termination/expiration, no involvement in a competing business for 2 years in or within 25 miles of any National Academy of Athletics; no solicitation of customers of your franchise for 2 years, subject to state law. The period of time Covenantor shall be required to abide by the breached obligation shall be extended to a period of two (2) years after Covenantor is no longer in breach of such obligation.
