| Description | Your Franchise Agreement will specify the site that will be the Approved Location for your Restaurant. Your Franchise Agreement may also specify a Designated Territory. The size and scope of the Designated Territory will be contained in the Franchise Agreement and will be determined according to whether the Approved Location is an urban area or a suburban area. The Designated Territory is not the same area as, and will be smaller than, the trade area in which you will be looking for a site. We will provide you with information regarding our classification of each portion of your trade area as urban or suburban. The minimum area that may be granted in a suburban area is up to a three-mile radius from the epicenter of your current location to the epicenter of another approved traditional franchise location. For more densely populated urban areas, we reserve the right to limit the Designated Territory size. If you do not yet have a location at the signing of the Franchise Agreement, you will receive a non-exclusive site search area list as Attachment 1. |

| Participation Details | When you sign your agreement, you must designate and retain at all times an individual to serve as the “Operating Principal”. If you are an individual, you must perform all obligations of the Operating Principal. If you are a corporation, partnership or other form of entity, the Operating Principal must be one of your Principals and must hold an ownership interest in you or any entity that directly or indirectly controls you. Except as otherwise provided in the Agreements, the Operating Principal’s interest in you must remain free of any pledge, mortgage, hypothecation, lien, charge, encumbrance, voting agreement, proxy, security interest or purchase right or option. The Operating Principal must participate in the daily operation of the Restaurant. In certain, limited circumstances, we may permit the Operating Principal to oversee management of the Restaurant and designate the primary daily responsibilities to a General Manager. If we permit the Operating Principal to designate a General Manager, the Operating Principal must take all necessary action to make sure that the designee conducts and fulfills all of the Operating Principal’s obligations and the Operating Principal will remain fully responsible for his performance. The Operating Principal must sign the applicable agreement as one of your Principals, and will individually guarantee all of your obligations, and will be jointly and severally bound by all of your obligations and the obligations of the Operating Principal and your Principals under the agreement. |
