Renewal ConditionsCan be renewed for successive terms if you are in compliance with your Franchise Agreement (“Agreement”). Renewing your Franchise Agreement means that you are able to continue your operations as a franchisee for an additional term. You must pay renewal fee, sign a general release of claims, notify us in writing at least 180 days before the expiration of the Agreement, and sign our then current Agreement, which may contain materially different terms and conditions than your original contract.

Transfer ConditionsYou must be: -current in monetary obligations; -in compliance with the Franchise Agreement; -execute any transfer, amendment, or release forms that we may require; -provide to us a copy of the proposed transfer documents; -transferee must meet our criteria; -transferee must execute our then-current Franchise Agreement; -pay to us the Transfer Fee; -transferee must satisfactorily complete our initial training program; -comply with the post-termination provisions; -transferee must obtain necessary licenses and permits; -obtain any lessor approval for transfer; -the transfer must be made in compliance with any laws that apply to the transfer; -the purchase price and terms of the proposed transfer are not so burdensome to the prospective transferee as to impair or materially threaten its future operation; -you must request that we provide the prospective transferee with our current franchise disclosure document.
Termination for CauseViolate the Agreement, Manual, any other agreement with us, or owe monies to us more than 30 days past due, and do not cure such breach within 30 days after notice. Other non-curable defaults include failure to pass initial training, failure to obtain site approval or open on time, relocation without approval, insolvency, material violation of law, abandonment of business, materially false franchise application, fraud, or failure to pay suppliers over $3,000 for more than 60 days.
Non-Compete PeriodIn-Term: during the Term of this Agreement; Post-Term: 2-year period after termination, expiration, or non-renewal
Non-Compete DetailsIn-Term: You will not, during the Term of this Agreement, in the United States or its Territories, directly or indirectly, offer a fast casual Restaurant offering cuisine the same or similar to that offered through this Franchise Agreement. Post-Term: You will not, directly or indirectly, for a 2-year period after the termination, expiration, or non-renewal of this Agreement, including a sale of the franchise or your interest in it, offer cuisine the same or similar to that offered through this Franchise Agreement in the Territory or within 25 miles of the boundaries of the Territory, or within 25 miles of any other Food Street outlet of ours or a franchisee of ours in operation at the time.
