Renewal ConditionsYou must have complied with your obligations during the term of your Franchise Agreement; not have committed 3 or more defaults during any 12 month period during the Term; sign our then-current form of Franchise Agreement that may contain terms and conditions materially different from those in your original Franchise Agreement; satisfy our then-current training requirements; pay a renewal fee and sign a general release. Your Royalty and advertising fee payments under your renewal Franchise Agreement will be at the rates then applicable to new franchisees.

Transfer ConditionsThe proposed transferee must qualify, successfully complete our initial training program, sign our then-current Franchise Agreement (provided, that the term of the new Franchise Agreement will be the remaining term of the existing Franchise Agreement) and you must be in good standing, sign a general release and pay the transfer fee. If the Franchise Agreement has been signed under an Area Development Agreement, you must concurrently assign all other existing Franchise Agreements to the same assignee.
Termination for CauseFranchisor can terminate the Franchise Agreement if the franchisee defaults under the Franchise Agreement, any other individual Franchise Agreement, any Area Development Agreement (other than solely for failure to meet development obligation), or any other agreement between the franchisee and franchisor (subject to state law). Curable defaults have 5 or 10 days to cure. Non-curable defaults include bankruptcy, abandonment, unapproved transfers, repeated defaults, misrepresentations, health/safety violations, trademark misuse, felony conviction, failure to comply with laws, failure to meet minimum Gross Revenue, false records, unauthorized use of trade secrets, failure to purchase inventory, selling unauthorized products, purchasing from non-approved suppliers, late payments on advances/guarantees, breach of promissory note, abusive language, denigration of system, and other non-curable breaches.

Non-Compete DetailsFor 2 years following the expiration or termination of your Franchise Agreement, you cannot own or have any interest in a competitive business located in your Protected Area or within 20 miles of any Franchised Business or its Protected Area. If this covenant is violated, the franchisee must pay 6% of the Gross Revenue derived from the competitive business for the 2-year period.
