The arbitration will occur in Salt Lake, Utah, or, if Franchisor’s principal place of business is at another location at the time that arbitration is sought, in the city of Franchisor’s principal place of business under the auspices of the American Arbitration Association (“AAA”) under AAA’s Commercial Arbitration Rules then in effect with the each party bearing one-half of the arbitrator’s and administration expenses incurred during the arbitration process and prior to a final determination by the arbitrator; provided, however, that the prevailing party shall be entitled to recover its expenses, including reasonable attorney fees, accounting fees and arbitrator and administrative expenses, in addition to any other relief to which it is found entitled.
California Business and Professions Code sections 20000 through 20043 provide rights to the franchisee concerning termination, transfer or non-renewal of a franchise.
