Owners and their spouses must also comply and personally guarantee the new terms.

Transfer ConditionsRequires franchisor's prior written consent. Conditions include 30 days' prior written notice, satisfaction of all monetary and other obligations, transferee's good moral character, sufficient business experience/aptitude/financial resources, agreement to be bound by all terms, execution of personal guarantees by owners/spouses, execution of a general release, completion of training programs by transferee/managers, franchisor's approval of price/terms, and compliance with all applicable laws.
Termination for CauseFranchisor can terminate for various defaults, including insolvency/bankruptcy, abandonment of obligations, intentional refusal to comply with agreement terms, operation in violation of laws posing a threat to health/safety, failure to maintain leasehold interests, material misrepresentation of information, unauthorized transfer, felony conviction, unethical conduct, failure to complete training, misuse of confidential information/marks, and failure to comply with Anti-Terrorism Laws. Curable defaults (e.g., failure to pay fees, operational non-compliance) have 10 or 30-day cure periods.

Non-Compete DetailsDuring the term of the franchise, franchisee and owners/spouses cannot have any legal/equitable interest (over 3% in publicly traded company), operate, manage, fund, or perform services for a Competitive Business, divert customers, or violate confidentiality. Post-termination, for 24 months, the non-compete applies to the Designated Territory, a 25-mile radius around it, and a 10-mile radius around any other Le Village Marché Boutique. Confidentiality and non-solicitation covenants also apply.

If multiple Boutiques are owned, each must be managed and supervised on-site by an Operating Manager.
Required SuppliersFranchisee is required to purchase or lease certain source restricted goods and services for the development and operation of the Boutique that meet franchisor's specifications and/or are purchased from an approved or designated supplier, which may include the franchisor or its affiliates. These include System Supplies, branded furniture/fixtures, signage, Point of Sale System and Computer Equipment, Credit Card Processing, and On-Line Ordering, Customer Rewards, and Gift Cards.
Supply RestrictionsFranchisee may only offer and sell Approved Products and Services and use products, supplies, equipment, technology systems, and services authorized and designated in writing by the franchisor. The franchisor may designate itself or its affiliates as exclusive suppliers for certain goods and services. Unbranded furniture and fixtures may be purchased from any supplier meeting specifications.
Franchisor Revenue from SuppliersFranchisor and/or its affiliates may receive rebates, payments, and other material benefits from suppliers based on franchisee purchases. As of the Issuance Date, the franchisor has not received revenue from franchisee purchases of source restricted products or services, but reserves the right to institute and expand rebate programs in the future and use all amounts received without restriction, including for profit.
