Transfer ConditionsFranchisor approval is required for transfer, which will not be unreasonably withheld. Termination for CauseThe franchisor can terminate the agreement if the franchisee defaults. Non-curable defaults include failure to commence business within 180 days, failure to keep the business open for 10 consecutive days (unless due to major refurbishment, natural disaster, or franchisor consent), providing false or misleading information in the franchise application, insolvency or bankruptcy, dissolution proceedings, unsatisfied judgments, knowingly maintaining false records, or two or more prior defaults within 12 months (even if cured), unauthorized assignment, or communicating proprietary information to a competitor. Curable defaults (15 days for non-payment, 30 days for other defaults) also allow termination if not remedied.

Non-Compete DetailsUpon expiration or termination of the agreement, for a period of two years, the franchisee shall not engage in, be concerned with, or be interested in any business competing with a Fully Promoted Business or any other business within the Fully Promoted Network within a 25-mile radius of the former premises or any other Fully Promoted business (with exceptions for minor stock holdings in public companies). Additionally, for eight months after termination, the franchisee shall not solicit business from regular customers of the Business from the two years prior to termination.

If a corporation, partnership, or other business entity, a principal, general partner, or a fully trained manager must devote full-time and best efforts to the management and operation of the business. The business must always be under the direct on-premises supervision of someone who has completed the franchisor's training program. A competent, conscientious, neat, and trained staff must also be maintained.
